LLC NAME

The undersigned, being the organizers of the Limited Liability Company do hereby certify as follows:

  1. The name of the LLC is: LLC NAME
  2. The principal office of the Limited Liability Company shall be located in the County of COUNTY NAME.
  3. The Limited Liability Company has a specific date of dissolution in the addition to the events set forth in Sec.... of the LLC Law of the State of STATE. Such date is DAY/MONTH/YEAR, which is the latest date upon which the Limited Liability Company is to dissolve. The Limited Liability Company shall dissolve and terminate not later than the earliest of the following events:
    1. The occurence of the termination events specified in the Operating Agreement of the LLC.
    2. Thirty Years from the date of the formation of the Limited Liability Company.
  4. The Secretary of State is designated as the agent of the Limited Liability Company upon whom process against the LLL may be served, and the adress to which the Secretary of State shall mail a copy of any process against the LLC served upon him is AGENT ADDRESS.
    The LLC shall have a registered agent. The address of the initial registration office of the LLC shall be AGENT ADDRESS, and the name of the registered agent of the LLC at that address is AGENY NAME.
  5. The LLLC shall be managed by one or more MANAGERS one or more MEMBERS of a class or classes consisting of DESCRIBE.
  6. All of the specified class of members are to be liable in their capacity as members for all or specified debts, obligations, or liabilities of the LLC as authorized pursuant to Sec.... of the the LLC Act of the State of STATE.
  7. The Members of the LLC elect to include the following additional provisions in these Articles of Organization for the regulation of the internal affairs of the LLC:
